Scenehire Terms of Service

These Terms of Service ("Terms") govern access to and use of the Scenehire website, applications, and related services (collectively, the "Services") provided by Scenehire, Inc. ("Scenehire", "we", "us", or "our").

By accessing or using the Services, creating an account, accepting an invitation, or clicking to accept these Terms, you agree to be bound by these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "Customer" refers to that organization.

1. The Services

Scenehire provides production-workflow software that may allow authorized production teams to manage crew records, contracts, documents, communications, schedules, payment records, and related workflows.

Scenehire may provide access only to approved production companies and their authorized internal users.

We may suspend, limit, or terminate access if we reasonably believe there is a security risk, violation of these Terms, nonpayment, misuse, or legal requirement.

3. Crew links and external recipients

Scenehire may allow production teams to send secure links to crew members, vendors, and other recipients to sign documents, upload files, submit information, or complete other tasks.

These links are limited-purpose access tools, not full Scenehire accounts. Recipients may not use a task link to access another person’s information, another production’s records, or an internal customer workspace.

4. Customer data and responsibility

"Customer Data" means content submitted to the Services by or for Customer, including crew and vendor information, contracts, documents, communications, payment information, schedules, records, and files.

Customer retains ownership of Customer Data. Customer grants Scenehire a non-exclusive, worldwide, limited right to host, process, copy, transmit, display, and use Customer Data only as necessary to provide, secure, support, and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.

Customer is solely responsible for the accuracy, legality, completeness, and appropriateness of Customer Data and all decisions made using the Services.

5. Contract extraction and automation

Scenehire may offer document scanning, data extraction, reminders, summaries, AI-assisted features, or other automated functionality.

These features may make mistakes. Customer is solely responsible for reviewing and verifying all extracted or generated information, including names, work dates, rates, payment amounts, payment terms, employment classifications, and contract terms, before relying on it or initiating any action.

Scenehire will not automatically initiate a payment solely because a document was uploaded, scanned, or processed. An authorized Customer user must review and approve any payment request before it is sent through an available payment workflow.

6. Payments and Stripe

Scenehire may offer optional payment functionality through third-party providers, including Stripe. Payment services are subject to the terms, privacy policies, onboarding requirements, and verification requirements of the applicable payment provider.

Customer is solely responsible for:

Customer must not use optional payout functionality for employee wages, union wages, or any payment that must legally be processed through payroll, unless Scenehire expressly supports that use in writing.

Scenehire may delay, reject, reverse, suspend, or require additional information for a payment workflow where required by a payment provider, applicable law, security procedures, or risk controls.

Customer will pay all fees described in its applicable order form, subscription plan, or other written agreement. Fees are due in advance unless otherwise stated and are non-refundable except where required by law or expressly agreed in writing.

Customer is responsible for applicable sales, use, value-added, or similar taxes, excluding taxes based on Scenehire’s net income.

We may suspend access for overdue amounts after providing notice where required by applicable law or the applicable customer agreement.

9. Intellectual property

Scenehire and its licensors own all rights, title, and interest in the Services, including software, designs, trademarks, documentation, workflows, and improvements.

Subject to these Terms and payment of applicable fees, Scenehire grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right for authorized users to access and use the Services during the applicable subscription term.

Feedback you provide may be used by Scenehire without restriction or compensation, provided we do not identify you or your company as the source without permission.

10. Confidentiality

Each party may receive non-public information from the other party ("Confidential Information"). Each party will use the other’s Confidential Information only to perform under these Terms and will protect it using reasonable care.

Customer Data is Customer’s Confidential Information. Scenehire’s non-public software, pricing, security materials, and product roadmap are Scenehire’s Confidential Information.

Confidential Information does not include information that the receiving party can demonstrate is publicly available without breach, already known without a confidentiality obligation, independently developed, or lawfully received from another source.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCENEHIRE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE SERVICE.

SCENEHIRE DOES NOT WARRANT THAT DOCUMENT EXTRACTION, AUTOMATION, AI FEATURES, EMAIL DELIVERY, SIGNATURE COLLECTION, PAYMENT STATUS, OR OTHER OUTPUTS WILL BE ACCURATE, COMPLETE, TIMELY, OR ERROR-FREE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCENEHIRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, PRODUCTION OPPORTUNITY, OR BUSINESS INTERRUPTION.

SCENEHIRE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT CUSTOMER PAID TO SCENEHIRE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations, so some of these limitations may not apply to you.

Customer will defend, indemnify, and hold harmless Scenehire and its officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses arising from or related to:

Customer may stop using the Services at any time, subject to its applicable subscription agreement.

We may suspend or terminate access immediately if necessary to protect the Services, users, payment providers, or third parties; comply with law; address a security issue; or respond to a material breach of these Terms.

Upon termination, Customer’s right to access the Services ends. Customer may request export of Customer Data within [ ] days after termination, subject to its applicable agreement, technical limitations, and payment of all amounts due.

15. Changes

We may update these Terms from time to time. If we make a material change, we will provide notice as required by law. Continued use of the Services after the updated Terms take effect means you accept them.

16. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to jurisdiction and venue there.
